PROPTRACER TERMS OF USE

Effective Date: March 30, 2026

These Terms of Use ("Terms") constitute a legally binding agreement between PropTracer, Inc. ("PropTracer," "we," "our," or "us") and you ("Customer," "User," or "you") governing your access to and use of the PropTracer platform and services.

By accessing or using PropTracer, you agree to these Terms. If you do not agree, do not use the Service.

1. Overview of the Service

PropTracer is an AI-powered property intelligence platform that provides access to property data, ownership insights, and contact information for U.S. real estate.

The Service may include:

  • Property records and analytics
  • Ownership identification (including LLC and entity resolution)
  • Contact data (phone numbers, emails, mailing addresses)
  • Map-based search and filtering tools
  • Data enrichment, exports, and workflow tools

The Service is provided on a subscription basis and may be updated or modified at any time.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service.

3. Subscription & Access

  • Access is granted as a limited, non-exclusive, non-transferable license
  • Accounts are for individual use unless designated as a team or enterprise account
  • You may not share login credentials or provide access to unauthorized users

PropTracer reserves the right to suspend or restrict access for misuse, abuse, or excessive usage.

4. Free Trials

PropTracer may offer free trials.

  • Trial access is subject to these Terms
  • Features may be limited
  • Access may terminate or convert to paid use upon expiration

5. Team Accounts

If you purchase multiple seats:

  • Only authorized employees or contractors may access the account
  • All users must comply with these Terms
  • Accounts may not be resold, sublicensed, or shared externally

6. Fees & Billing

  • Subscription fees are billed monthly or annually
  • You authorize PropTracer to charge your payment method automatically
  • Fees are non-refundable unless required by law
  • Failure to pay may result in suspension or termination

PropTracer may update pricing with prior notice.

7. Permitted Use

You may use the Service for lawful business purposes, including:

  • Real estate prospecting and outreach
  • Market research and analysis
  • Identifying property owners and decision-makers

You agree to comply with all applicable laws.

8. Prohibited Use

You agree NOT to:

  • Resell, redistribute, or license platform data
  • Build competing databases or products using the data
  • Scrape, automate extraction, or reverse engineer the platform
  • Use the platform for unlawful, deceptive, or abusive purposes
  • Use data for credit, employment, insurance, or eligibility decisions
  • Violate marketing laws (including TCPA, CAN-SPAM, or Do Not Call rules)

PropTracer may monitor usage to detect abuse.

9. Data & Accuracy Disclaimer

PropTracer aggregates data from multiple sources.

  • Data is not guaranteed to be 100% accurate or complete
  • Information does not constitute legal ownership verification
  • The Service is not a substitute for title reports, appraisals, or legal advice

You are responsible for verifying information before use.

10. Data Protection & Privacy

10.1 Roles of the Parties

  • You are the Controller of any Personal Information you upload or process
  • PropTracer acts as a Service Provider / Processor on your behalf

You are responsible for ensuring lawful use of data.

10.2 Types of Data

Account Data (controlled by PropTracer):

  • Name, email, billing information, login data

Customer Data (controlled by you):

  • Any Personal Information you upload or process

Property Record Data:

  • Publicly available property-related data (not treated as Personal Information where legally applicable)

10.3 Purpose of Processing

PropTracer processes data solely to:

  • Provide and operate the Service
  • Enable platform features
  • Maintain security and prevent abuse
  • Comply with legal obligations

We do not sell or share Personal Information processed on your behalf.

10.4 Data Restrictions

PropTracer will not:

  • Use your data for its own marketing
  • Combine your data with other customers' data
  • Sell or repurpose your data

10.5 Data Security

We implement industry-standard safeguards including:

  • Encryption (in transit and at rest)
  • Access controls and least-privilege policies
  • Monitoring and logging systems
  • Multi-factor authentication (where applicable)

10.6 Data Retention

  • Data is retained only as long as necessary
  • Upon termination, data may be deleted or returned upon request

10.7 Subprocessors

PropTracer may use third-party service providers.

  • All subprocessors are contractually bound to protect data
  • PropTracer remains responsible for their actions

10.8 Data Subject Requests

You are responsible for handling requests from individuals.

We will assist where reasonably possible.

10.9 Security Incidents

If a breach occurs:

  • We will notify you without undue delay
  • We will provide relevant information to support compliance

10.10 International Transfers

Where applicable, PropTracer uses lawful transfer mechanisms such as Standard Contractual Clauses.

10.11 Aggregated & De-Identified Data

PropTracer may use anonymized or aggregated data for:

  • Analytics
  • Product improvement
  • AI model enhancement

This data will not identify any individual or customer.

11. Third-Party Services

PropTracer may integrate with third-party providers (e.g., skip tracing, messaging tools).

  • These services are not controlled by PropTracer
  • You are responsible for compliance when using them

12. Intellectual Property

All rights to the platform, including software, AI models, and data systems, are owned by PropTracer.

You may not:

  • Copy, reproduce, or distribute the platform
  • Reverse engineer or replicate the technology
  • Use the platform to train competing AI systems

13. AI & Data Protection Clause

PropTracer uses proprietary AI and data systems.

You may not:

  • Use the platform or its outputs to train competing AI models
  • Extract data for model training or dataset creation
  • Replicate or reverse engineer our data systems

14. Term & Termination

This Agreement continues until terminated.

You may cancel at any time.

PropTracer may suspend or terminate access for:

  • Violation of these Terms
  • Non-payment
  • Misuse or abuse

15. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE."

We do not guarantee:

  • Data accuracy
  • Service uptime
  • Business outcomes

16. Limitation of Liability

To the maximum extent permitted by law:

  • PropTracer is not liable for indirect or consequential damages
  • Total liability is limited to the greater of:
    • $100, or
    • The amount paid in the last billing period

17. Indemnification

You agree to indemnify and hold PropTracer harmless from claims arising from:

  • Your use of the Service
  • Violation of laws
  • Breach of these Terms

18. Compliance with Laws

You are solely responsible for complying with all applicable laws, including:

  • Data privacy laws
  • Marketing and outreach regulations (TCPA, CAN-SPAM, DNC)
  • Consumer protection laws

PropTracer does not provide legal compliance guarantees.

19. Governing Law

These Terms are governed by the laws of the State of California.

All disputes shall be resolved in California courts.

20. Changes to Terms

PropTracer may update these Terms at any time.

Continued use of the Service constitutes acceptance of updates.

21. Acceptance

By accessing or using PropTracer, you acknowledge that you have read, understood, and agree to these Terms.
